Terms of Service

1. Agreement and Authority
These Terms of Service (the "Terms") govern access to and use of the BJJ Track websites, software, APIs, embedded widgets, kiosks, communications tools, billing tools, analytics, AI features, and related services (collectively, the "Services") provided by Lux Services LLC ("BJJ Track," "we," "us," or "our").
By accessing, purchasing, registering for, or using the Services, you agree to these Terms. If you accept these Terms on behalf of a company, academy, gym, studio, franchise, or other entity, you represent and warrant that you have authority to bind that entity, and the words "Customer," "you," and "your" refer to that entity and its authorized users.
2. Service Scope
BJJ Track is a business software platform for martial arts schools, gyms, and related service businesses. Depending on the subscription plan and add-ons you purchase, the Services may include customer relationship management, lead capture, website tools, class and event scheduling, agreements and waivers, member portals, kiosks, analytics, advertising tools, email, SMS, WhatsApp, voice features, AI-assisted workflows, payment collection, and connected third-party integrations.
Unless we expressly agree otherwise in writing, BJJ Track provides software and operational tooling only. We do not provide legal advice, tax advice, accounting advice, healthcare services, or regulated financial services, and you remain solely responsible for the way you run your business and communicate with your customers.
3. Eligibility, Accounts, and Authorized Users
You must provide accurate, current, and complete account information and keep it updated. You are responsible for all activity under your account, all administrators, staff members, contractors, and sub-users you authorize, and the confidentiality of credentials, API keys, devices, and payment settings associated with your tenant.
You must promptly notify us at contact@bjjtrack.com if you suspect unauthorized access, payment fraud, account takeover, or any security incident affecting your account.
4. Subscriptions, Auto-Renewal, Fees, and Non-Payment
4.1 Paid Services. Paid subscriptions and add-ons are billed in advance on a monthly or annual basis, as selected at checkout or in your billing settings. Unless expressly stated otherwise in writing, subscriptions renew automatically until canceled.
4.2 Taxes and Third-Party Charges. Fees do not include sales, use, excise, telecommunications, VAT, GST, or similar taxes, and do not include third-party charges such as Stripe processing fees, SMS fees, voice minute charges, Meta or Google ad spend, carrier fees, or other pass-through charges unless expressly included in your order.
4.3 Price Changes. We may change subscription pricing, usage rates, overage rates, or add-on pricing upon reasonable advance notice. Unless otherwise required by law, changes take effect on or after your next renewal date following the notice period.
4.4 Refund Policy. Except as required by applicable law or expressly stated in a written order form signed by BJJ Track, all purchases are non-cancelable for the current billing period and all fees are non-refundable. Canceling prevents future renewal charges but does not entitle you to a prorated refund for the current term.
4.5 Standard Non-Payment Workflow. Unless we determine a shorter or different response is necessary for fraud, abuse, chargebacks, legal risk, processor requirements, or material breach, our standard delinquency workflow is generally: (a) day 0 through approximately day 4, failed payment with retries while core service remains available and owner or admin notices may be sent; (b) beginning around day 5, we may pause higher-cost or higher-risk channels such as outbound SMS, email, AI Flex Credits, Smart Voice, or automations; (c) beginning around day 14, we may suspend or restrict access, including read-only owner or admin access and temporary unavailability of staff dashboards, member portals, kiosks, POS, or related surfaces; (d) final notice around day 21; (e) account lock or cancellation around day 30 if payment remains unresolved; (f) archive notice around day 90; and (g) soft-delete or archival processing after approximately 180 days if the account is not reactivated. 4.6 Member Billing Safeguards. If continued downstream member billing through BJJ Track-managed payment flows would create consumer-protection, chargeback, card-network, processor, reputational, or legal risk because the customer can no longer provide the underlying services, BJJ Track may pause, cancel, or stop that billing activity, including on Stripe Connect flows where applicable. Where required by applicable law, processor rules, or our risk assessment, we may also process or facilitate prorated refunds or credits for unused service periods.
4.7 Suspension Rights. We may suspend access immediately if payment is reversed, disputed, or charged back; if your payment provider account becomes restricted; if we detect fraud or abuse; or if continued access creates legal, security, or operational risk.
5. Stripe, Connect, and Payment Services
If you use billing, checkout, connected account, payout, or payment-link features, BJJ Track may integrate with Stripe, including Stripe Checkout, Billing, Customer Portal, and Stripe Connect. Stripe and its affiliated banking or payment partners are independent third parties. Your use of those features is subject to the applicable Stripe terms, privacy notices, connected account terms, and payout or treasury disclosures made available by Stripe.
You authorize BJJ Track to pass instructions, metadata, and configuration settings to Stripe and connected providers on your behalf as reasonably necessary to provide the Services, enforce platform policy, respond to billing failures, or reduce payment-related risk. You remain responsible for your business, pricing, taxes, refunds, cancellations, disputes, chargebacks, payout information, KYC or beneficial owner disclosures, and compliance with network, banking, and processor rules. BJJ Track is not a bank, money transmitter, card network, or merchant of record unless we expressly agree otherwise in writing.
6. Customer Responsibilities and Legal Compliance
You are solely responsible for: (a) the legality, accuracy, and appropriateness of your products, services, pricing, promotions, forms, waivers, policies, and communications; (b) obtaining all legally required consents, notices, and permissions from your customers, members, leads, staff, guardians, and contacts; (c) your compliance with applicable laws, regulations, and industry rules, including without limitation privacy laws, consumer protection laws, automatic renewal laws, marketing laws, TCPA, CAN-SPAM, telemarketing laws, card network rules, chargeback rules, and tax obligations; and (d) reviewing and approving any automated or AI-assisted actions before they are used in your business.
You may not use the Services to store or process Social Security numbers, full payment card data outside supported payment forms, protected health information subject to HIPAA, biometric identifiers subject to special regulation, or other highly sensitive data unless BJJ Track has expressly agreed in writing to support that use case.
7. Customer Data, Ownership, and Retention
As between the parties, you retain ownership of the business records, member records, lead records, forms, waivers, communications, and other information you or your users submit to the Services ("Customer Data"). You grant BJJ Track a non-exclusive, worldwide, royalty-free right to host, copy, transmit, process, analyze, and display Customer Data solely to provide, secure, support, improve, and enforce the Services and these Terms.
For Customer Data that you submit on behalf of your members, leads, staff, or other end users, you are generally the business or controller that decides why and how that data is used, and BJJ Track generally acts as your service provider or processor. For data we collect about our own website visitors, prospects, support contacts, billing contacts, and account owners, BJJ Track may act as an independent controller.
We may preserve Customer Data in active or archived form during the subscription term and for a period after cancellation, non-payment lock, or termination to support reactivation, exports, backup recovery, fraud prevention, dispute handling, audit trails, and legal compliance. Archived former-customer operational data may be retained for up to approximately 180 days after lock or cancellation, and billing, consent, security, tax, payout, dispute, suppression, and audit records may be retained longer where reasonably necessary or legally required. 8. AI Features, Telemetry, and Automations
The Services may include AI-assisted drafting, chat, voice, analytics, scoring, recommendations, automations, benchmarking, or operational suggestions. AI-generated or model-generated output may be incomplete, inaccurate, biased, delayed, or inappropriate. You are solely responsible for reviewing, approving, and monitoring AI output before relying on it, sending it to third parties, or using it in any business, payment, marketing, legal, or customer-service workflow.
We may collect telemetry, logs, usage metrics, attribution data, and event data to secure, troubleshoot, support, and improve the Services, administer billing and service availability, and understand adoption and performance. We may also create aggregated or de-identified analytics and benchmarks that do not identify you or your customers, and may use aggregated or de-identified data to evaluate, tune, or improve AI models that we operate or that we license from third-party providers, subject to those providers' data-use commitments.
Anonymized aggregate analytics. To improve product features and provide useful benchmarks for every customer, BJJ Track computes anonymized, aggregated statistics across customer tenants — for example, typical monthly-membership price ranges by region, common program names, average class-schedule density, and similar gym-operations baselines. Aggregates are computed only at scale and never include gym names or brands, member or staff identities, contact information, financial account or payout details, individual transaction histories, or free-form notes. Customers may opt out of contributing to anonymized aggregates from Settings → Privacy & Data. See the Privacy Policy § 10a for details.
AI analysis of your communications. Where you enable optional AI features that analyze communications — including the AI Call Coach analyzing softphone transcripts, AI drafting replies on inbound messages, post-call quality notes, sentiment or risk scoring on member conversations, automated summarization of inbox threads, or AI-generated coaching feedback — you authorize BJJ Track and its sub-processors to read, transcribe, analyze, score, summarize, and store the underlying call audio, transcripts, message bodies, attachments, and associated metadata for the purpose of producing that AI output, securing the platform, billing for AI usage, and improving the AI features generally. You are responsible for ensuring that any disclosures or consents required by law to authorize this analysis (including under wiretap, eavesdropping, and two-party-consent statutes for live-call coaching) are properly captured. Recording disclosure played by Voice AI under Section 8a generally satisfies the analysis-consent requirement for call audio and transcripts of those calls.
AI Flex Credits, model choice, and BYOM. AI Flex Credits may be calculated by work type, model selection, model cost, media generation cost, platform orchestration, safety checks, knowledge lookup, tools, retries, logging, support diagnostics, and other usage factors shown in the product. If you leave model selection on Auto, BJJ Track may choose or change the underlying model provider or model for quality, speed, reliability, safety, availability, or cost reasons without disclosing the internal model in the customer-facing interface. If you choose a specific model, connect your own model provider key, or use Bring Your Own Model ("BYOM"), the Services may show estimated Flex Credit use before you save or run an action, but actual usage may vary based on prompt size, context, retries, fallback, attachments, media settings, or provider pricing changes. BYOM replaces only the compatible model lane you connect; for example, a text model key does not replace image generation, video generation, phone numbers, telephony, speech-to-text, text-to-speech, storage, or email/SMS/DM delivery costs. Even when you pay the model provider directly through BYOM, BJJ Track may still charge reduced AI Flex Credits for platform orchestration, safety, knowledge retrieval, tools, audit logs, quota tracking, retries, and support diagnostics.
8a. Voice AI — Recording, Disclosure, and PCI Handling
If you enable the Smart Voice, inbound and outbound calls are placed through Twilio. When call recording is enabled in your admin settings, BJJ Track plays a recording disclosure at the start of each call ("This call may be recorded for quality purposes") to satisfy two-party-consent statutes in California, Florida, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania, and Washington. You are responsible for confirming the disclosure language meets local requirements in any jurisdiction outside this list.
Default retention windows for Voice AI data: 90 days for call audio, 12 months for call transcripts, 5 years for consent records. You may tighten any of these in Settings → Front Desk → Data Retention (minimums apply: 30 days for audio, 1 month for transcripts, 4 years for consent — the TCPA practical floor). When a consumer files a right-to-delete request, the deletion overrides the retention windows for that specific subject.
PCI DSS 3.2.1. The Voice AI is configured to never solicit or accept credit card numbers, CVV / CSC / security codes, expiration dates, or cardholder names over the phone. For any payment-related request the assistant sends a secure Stripe payment link by SMS or email. As a second line of defense, every live transcript chunk is scanned for credit-card / CVV patterns; on detection, the Twilio recording is paused within ~1 second and the transcript text is redacted before durable storage. BJJ Track does not store sensitive authentication data (CVV / CSC / track data) under any circumstances. Per PCI DSS 3.2.1 § 3.2, this data must not be retained after authorization, even encrypted.
8b. Smart Voice — Credits, Weights, Add-ons, and Cascade
Add-on structure. Smart Voice (IVR + AI + softphone + forwarding) is the "Voice Add-on" ($99/month) and requires the Two-Way SMS add-on ($79/month) to be active. Together they unlock a dedicated 10DLC line, A2P brand registration, IVR templates, AI conversations, softphone, recording, transcription, and the fallback chain. Without both, voice features are unavailable to your tenant and any cached purchase intent is refused at the API layer.
Smart Voice Credits and Weights. All voice usage on Smart Voice is denominated in Smart Voice Credits. Different voice events consume different amounts based on their underlying vendor cost plus a margin. As of the date noted above, the published weights are:
- IVR call (any duration up to ~60 seconds): 1 credit
- AI conversation: 10 credits per minute
- Softphone inbound: 1 credit per minute
- Softphone outbound: 2 credits per minute
- Forward to a human phone or staff softphone: 2 credits per minute
- Inbound landed on your tenant number: 1 credit per minute
- Voicemail drop: 1 credit per call
- Recording: +1 credit per minute (opt-in, per call or globally)
- Whisper transcription: +1 credit per minute (opt-in)
- AI Coach (live in-call coaching for staff): +5 credits per minute (opt-in)
- International multiplier: 5× for non-US destinations
Weight changes. Smart Voice Credit weights and pack pricing may change with at least 30 days' advance notice delivered via your billing email and an in-app banner. Historical voice records keep the weight they were charged at — we do not retroactively re-price prior usage. You may cancel the Smart Voice add-on before any weight change takes effect; purchased Smart Voice Credits remain spendable on whatever weights were active when you bought them.
Plan inclusion and signup bonus. The Smart Voice add-on includes 1,000 Smart Voice Credits per month, recurring, plus a one-time 100-credit signup bonus granted on first activation. Tenants without the Smart Voice add-on (including those who cancel) do not accrue plan-included credits.
Quota-exhaustion cascade (Auto-buy ↔ Overage ↔ Forwarding ↔ Hard block). By default, when your monthly Smart Voice Credits hit zero, voice sending stops. You may opt in to any or all of the following safety steps per channel (Smart Voice, SMS, email, AI Flex Credits), each with a monthly $ cap you choose: (a) Auto-buy — we charge your card for a Smart Voice Credit pack when your balance drops below your chosen trigger; (b) Overage — usage past your bucket is billed at the then-current per-credit overage rate until your monthly cap is reached; (c) Forward fallback — inbound calls forward to a logged-in staff softphone (1 credit per minute) or an entered human phone (2 credits per minute), with a 10-minute hard ceiling per call. Forwarding minutes consume Smart Voice Credits. If you opt out of all three or hit your caps, calls and messages stop and we will email and SMS the gym owner to alert them.
Hybrid IVR ↔ AI escalation. When a recipient presses an "escalate to AI" option on an IVR call, the live call bridges to the AI assistant in the same connection. The IVR portion (1 credit) and the AI portion (10 credits per minute of actual conversation) are billed separately and visible in your usage history.
DTMF as real-time consent. If an IVR script offers to send a one-time transactional follow-up by SMS or email (e.g., "press 1 to receive a payment link by text") and the recipient presses the indicated digit, that DTMF press constitutes real-time TCPA / A2P 10DLC-compliant consent for that single transactional message. We capture this consent in your tenant's consent records with a reference to the originating voice call.
Customer-fronted disclosure. The locked weights, plan inclusions, signup bonus, cascade steps, and 30-day notice policy are also disclosed in the in-app Help Center under "Smart Voice Credits & Weights." Tenant administrators are responsible for reading and accepting these terms during onboarding and on any subsequent material change.
9. Messaging, Marketing, and Communications Compliance
You are the sender and content owner for communications you configure through the Services. You must obtain and maintain all legally required consent and opt-in records before sending SMS, voice, email, WhatsApp, or other communications, and you must honor all unsubscribe, STOP, HELP, do-not-contact, and similar consumer rights. You are solely responsible for message content, segmentation, timing, targeting, quiet hours, disclosures, frequency, and campaign configuration.
BJJ Track may send service, billing, security, operational, or account-related notices to you and your authorized users, and may send communications to your end users where you configured the applicable workflow or integration or where a neutral operational notice is reasonably necessary to stop improper billing, reduce dispute risk, or administer service availability. We may block, throttle, suspend, or refuse to transmit messages that present compliance, carrier, fraud, reputational, or platform risk.
10. Third-Party Services and Integrations
The Services may connect to third-party products and platforms, including payment providers, telecom providers, analytics tools, AI providers, Meta, Google, email delivery tools, calendars, websites, CRMs, and embedded apps. Those third parties are not controlled by BJJ Track, and we are not responsible for their availability, performance, outages, policy changes, fees, security, or data practices. Your use of third-party services is governed by your agreements with those providers.
11. Acceptable Use Restrictions
You may not: (a) use the Services for unlawful, fraudulent, deceptive, defamatory, harassing, infringing, or abusive purposes; (b) reverse engineer, copy, resell, sublicense, or create a competing service from the Services; (c) bypass access controls, rate limits, or technical restrictions; (d) upload malware or interfere with service integrity; (e) use the Services to transmit spam or messages without consent; (f) access another customer's data without authorization; or (g) use the Services in a way that could expose BJJ Track, its providers, or its customers to legal or security risk.
12. Service Changes, Beta Features, and Availability
We may modify, improve, replace, suspend, or discontinue features, plans, integrations, or limits at any time. Some features may be marked alpha, beta, pilot, preview, or experimental and are provided "as is" with no commitment to continued availability. BJJ Track does not guarantee uninterrupted or error-free operation, and scheduled maintenance, emergency maintenance, carrier issues, payment processor issues, internet outages, or third-party failures may affect availability.
Plan limits, quotas, and inclusions. Without limiting the foregoing, BJJ Track may at any time, with the notice period described in Section 4.3 (pricing) or Section 8b (Smart Voice weights) where applicable, and otherwise without prior notice: (a) introduce, raise, lower, meter, throttle, or remove plan-included quotas for any usage-based feature, including SMS / email / voice / AI / storage / API / seat / location / member-record counts; (b) introduce new add-on requirements for features previously bundled, or bundle features previously sold as add-ons; (c) reclassify which add-ons, packs, or paid services are available for tenant self-service purchase; (d) add, remove, or change the action weights, multipliers, overage rates, auto-buy triggers, and cascade behaviour for any usage-based feature, subject to the Section 8b 30-day notice for Smart Voice weights; (e) change which third-party providers we use to deliver a feature (for example, swapping AI, voice, SMS, email, or analytics providers); (f) deprecate or retire a feature, integration, or third-party connection on reasonable notice. Where a change reduces functionality of a paid feature for the remainder of your prepaid term in a material way, your sole remedy is to cancel the affected add-on or plan and to receive a prorated refund of the unused prepaid portion if and to the extent required by applicable law.
13. Intellectual Property and Feedback
The Services, software, interfaces, workflows, designs, branding, documentation, and all related intellectual property are and remain the property of BJJ Track and its licensors. Except for the limited right to use the Services during the applicable subscription term, no rights are granted to you by implication or otherwise.
If you submit feedback, suggestions, enhancement requests, or ideas, you grant BJJ Track a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.
14. Confidentiality
Each party receiving non-public information from the other party agrees to use that information only for the purposes of the Services and to protect it with reasonable care. This does not apply to information that is or becomes public through no breach, was already known without restriction, is independently developed, or is lawfully received from another source. A receiving party may disclose confidential information to its personnel, contractors, or advisors who need to know it and are bound by confidentiality obligations, or where disclosure is required by law.
15. Suspension and Termination
You may cancel renewal of your subscription through the applicable billing settings or by contacting us, but cancellation does not relieve you of accrued payment obligations or entitle you to a refund except as required by law. We may suspend or terminate any account or feature immediately if we believe you breached these Terms, violated the law, created risk for us or others, failed to pay, became insolvent, were subject to repeated complaints or chargebacks, or if a required third-party provider restricts the related service.
On suspension or termination, your right to access the affected Services ends, and certain features, portals, kiosks, automations, pages, or integrations may stop functioning immediately. Staff or member-facing experiences may display neutral maintenance or unavailability language instead of billing-specific language. Sections that by their nature should survive will survive, including sections relating to payments, confidentiality, data retention, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. BJJ TRACK DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, DATA ACCURACY, SYSTEM INTEGRATION, AND RESULTS. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM LOSS, THAT ANY COMMUNICATION WILL BE DELIVERED, OR THAT ANY PAYMENT, MESSAGE, LEAD, OR DATA OPERATION WILL SUCCEED WITHOUT HUMAN OVERSIGHT.
17. Indemnification
You will defend, indemnify, and hold harmless BJJ Track, its affiliates, and their respective owners, officers, employees, contractors, and agents from and against any third-party claim, action, demand, loss, damage, liability, judgment, fine, penalty, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your business, products, services, promotions, pricing, payments, or refunds; (b) Customer Data or message content; (c) your use of AI, automations, payment tools, ads, or communications features; (d) your violation of these Terms or applicable law; or (e) your infringement or alleged infringement of a third party's rights.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BJJ TRACK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BJJ TRACK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY YOU TO BJJ TRACK FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
19. Texas Law, Arbitration, and Class Action Waiver
These Terms and any dispute or claim arising out of or relating to the Services will be governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Before either party starts formal proceedings, it must give written notice describing the dispute and allow at least thirty (30) days for a good-faith effort to resolve it informally.
Except for individual small-claims matters, actions to collect unpaid fees, petitions to compel arbitration, actions to enforce an arbitration award, or actions seeking temporary or permanent injunctive relief for misuse of intellectual property, confidential information, or unauthorized access, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of the arbitration will be Denton County, Texas, although the parties may appear by video unless the arbitrator requires otherwise.
YOU AND BJJ TRACK AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE PROCEEDING. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE PERMITTED TO BE HEARD IN COURT.
20. General Terms
We may update these Terms from time to time. Material changes will become effective after the notice period stated in the updated Terms or any notice we provide. Your continued use of the Services after the effective date of an update constitutes acceptance of the revised Terms.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, restructuring, or sale of assets. If any provision is held unenforceable, the remaining provisions will remain in effect. Failure to enforce any provision is not a waiver.
